Terms of Use

I. INTRODUCTION

These Terms of Use and End User License Agreement (collectively, the "Agreement") constitute a legally binding agreement made between you as a natural person ("you", "your" or "user") and ASAP Visuals, Inc. ("we," "us" or "our"), concerning your access to and use of the PartyCam software application for mobile devices (the "App") on both Android and iOS platforms.

This Agreement also governs your access to and use of our website at partycam.app (the "Website"), including creating an event and purchasing guest capacity there, and including the browser-based camera through which guests may take and upload photos to an event without installing the App or creating an account. The App and the Website are referred to together as the "Service". References to the App in this Agreement apply equally to the Website except where the context clearly requires otherwise, such as terms specific to the Apple App Store or Google Play.

Please read this Agreement carefully before you download, install or use the App, or use the Website. By downloading, installing or using the App, by creating an event or making a purchase on the Website, or by taking or uploading a photo to an event through the Website, you indicate that you have read, understood, agreed and accepted the Agreement which takes effect on that date. If you do not agree with this Agreement, you are not authorized to access, download, install or use the App or the Website.

II. CHANGES TO THIS AGREEMENT

We reserve the right, at our sole discretion, to make changes or modifications to this Agreement at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of this Agreement. It is your responsibility to periodically review this Agreement to stay informed of updates. You will be subject to, and will be deemed to have accepted, the changes in any revised Agreement by your continued use of the App after the date such revised Agreement is posted.

III. ELIGIBILITY

The Service is intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Service. This applies to guests who use the browser-based camera without an account as much as it does to users of the App.

IV. SERVICE DESCRIPTION AND LICENSE

PartyCam is a virtual disposable camera service that allows users to create photo-sharing events for parties, weddings, and other gatherings. Event creators ("hosts") can share a QR code or link with guests, enabling them to join a camera experience where they can take photos. These photos are then uploaded to a shared gallery, which can be made available to all participants or only to the host, based on the host's preferences.

A. How guests take part

A guest who scans an event's QR code or opens its link may take part in either of two ways:

  1. In a web browser. The camera opens in the guest's mobile browser. No download, no account and no sign-in are required. The browser will ask the guest for permission to use the device camera; photos may also be selected from the device's photo library and uploaded. This requires a supported mobile browser and a working internet connection, and it is not available on every browser or in every embedded in-app browser.
  2. In the App. The guest opens the event in the PartyCam App (or, on iOS, in an App Clip). Some features, including video recording, are available only in the App.

Which of these is available for a given event depends on the host's settings and on whether we have enabled the browser camera for the Service at the relevant time. We may enable, disable, limit or change either method of participation at any time.

B. Photos taken through the browser are anonymous

Guests who take or upload photos through the Website are not asked to sign in or to provide a name, and we do not ask them to identify themselves. Their photos are attributed only to an automatically generated, non-identifying label derived from a randomly assigned identifier for that browser (for example, "Guest-7K4M2"). Neither we nor the host is given the guest's name, email address or account identity for those photos.

You should understand what follows from this, because it cannot be undone after the fact:

  1. Neither we nor the host can tell you who took a particular photo that was contributed through the browser.
  2. A host cannot use the Service to identify a browser guest, and a browser guest cannot later attach their name to photos they have already contributed.
  3. The randomly assigned browser identifier is stored on the guest's device. If it is lost — for example because the guest clears their browser data, uses a private browsing window, switches devices or browsers, or because the browser discards the stored data on its own — the guest will be treated as a new and different guest, and will no longer be able to act in relation to the photos they contributed earlier.

Guests should not take or upload a photo through the browser that they would want withdrawn on the basis of who took it, and hosts should not rely on the Service to attribute browser-contributed photos to individuals.

C. License

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Service for your personal, non-commercial purposes strictly in accordance with this Agreement.

V. USER ACCOUNTS AND CONTENT

  1. You are responsible for maintaining the confidentiality of your account and password.
  2. You agree to accept responsibility for all activities that occur under your account.
  3. You retain your rights to any content you submit, post or display on or through the Service.
  4. Using the browser-based camera does not create an account. It assigns your browser an anonymous identifier, which is not an account, carries no password, cannot be recovered, transferred or merged with an account, and gives you no way to sign in from anywhere else. You are responsible for the activity carried out from your device under that identifier in the same way as for activity under an account.
  5. A host who has an account may moderate an event and may remove photos from it, including photos contributed anonymously through the browser. A guest who contributed photos anonymously should contact the host, or write to us at the address in Section XIX, to ask for their removal; because the contribution is anonymous, we may be unable to verify which photos are yours.

VI. PROHIBITED ACTIVITIES

You agree not to engage in any of the following prohibited activities:

  1. Uploading, posting, or sharing any content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  2. Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  3. Interfering with or disrupting the App or servers or networks connected to the App.
  4. Attempting to gain unauthorized access to any portion of the App or any other systems or networks connected to the App.

VII. INTELLECTUAL PROPERTY RIGHTS

The App and its entire contents, features, and functionality are owned by ASAP Visuals, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

VIII. THIRD-PARTY SERVICES

The Service uses services provided by Facebook, Firebase, Google Cloud, Appsflyer, Amplitude, Stripe, Resend, and Cloudflare. Your use of the Service may also be subject to the terms of service and privacy policies of these third-party providers. Taking part through the browser also depends on your device's browser and its handling of camera permissions and stored data, which are outside our control.

IX. CHARGES

The App is free to download. Creating an event for up to 10 guests is free. Events for larger guest counts are paid.

All paid purchases are one-time purchases. There are no subscriptions, no automatic renewals, and no free trials. You pay once for a single event at the guest capacity you choose. Nothing recurs, nothing renews, and we do not retain your payment details in order to charge you again in the future. Hosting another event requires a new purchase at that time.

Purchases can be made in two ways:

  • On our website at partycam.app. Payment is processed by Stripe, Inc. Your card details are provided directly to Stripe and are not stored by us.
  • In the App, through the Apple App Store or Google Play. Payment is charged to your Apple or Google account at confirmation of purchase, subject to that store's terms.

Prices are in U.S. dollars and may vary in countries other than the U.S. The price and the guest capacity are shown to you before you confirm the purchase. Guest capacity cannot be changed after purchase; a larger event requires a new purchase.

We reserve the right to modify, add or discontinue pricing tiers at any time. Any such change applies only to future purchases and does not affect an event you have already paid for.

For purchases made through the Apple App Store or Google Play, refunds are handled by Apple or Google under that store's refund policy. For purchases made on our website, please contact us at the address in Section XIX.

The following one-time purchase tiers are offered:

  • 10 Guests: Free
  • 50 Guests: $14.99
  • 100 Guests: $34.99
  • 175 Guests: $64.99
  • 250 Guests: $89.99
  • 500 Guests: $149.99

Note: The Google Play Product IDs for Android may differ. Please refer to the Google Play Store listing for the exact identifiers for Android devices.

You may be charged by your communications service provider for downloading and/or accessing the App on your mobile phone or tablet device, or for using the browser-based camera over a mobile data connection, so you should check the terms of agreement with your operator. This may include data roaming charges if you do this outside your home territory. All these charges are solely your responsibility. If you do not pay the bills related to your mobile phone or tablet device, then we assume that you have the permission from the person that does it before incurring any of these charges.

How guest capacity is counted

The guest capacity you purchase is a limit on the number of guest identities that join the event. It is not a count of people, and one person can use more than one place. Because of this, you should choose a capacity with room to spare.

A place is used each time a distinct guest identity joins your event. In particular:

  1. The browser-based camera and the App use separate identities. A guest who takes photos in their browser and then also joins through the PartyCam App — including through an iOS App Clip — uses two places, not one.
  2. A guest who joins from more than one device, or from more than one browser on the same device, uses one place for each.
  3. A guest whose anonymous browser identifier is lost — for example by clearing browser data, by using a private browsing window, or because the browser discards the stored data on its own — uses a further place when they return.

Places cannot be released, reclaimed or reused. Once a guest identity has joined an event, that place is used for the life of the event. Neither you nor we can free it up, and removing a guest's photos does not free it up. When an event reaches its purchased capacity, further guests cannot join it.

We do not refund, credit or extend an event because its capacity was reached earlier than expected, including where this happened because guests joined from more than one device or through both the browser and the App.

X. DISCLAIMER OF WARRANTIES

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ASAP VISUALS, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ASAP VISUALS, INC. MAKES NO WARRANTY THAT (I) THE APP WILL MEET YOUR REQUIREMENTS, (II) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE APP WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE APP WILL MEET YOUR EXPECTATIONS.

XI. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASAP VISUALS, INC., ITS AFFILIATES, EMPLOYEES, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

XII. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ASAP Visuals, Inc., its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the App, including, but not limited to, your User Contributions, any use of the App's content, services and products other than as expressly authorized in this Agreement or your use of any information obtained from the App.

XIII. GOVERNING LAW

This Agreement shall be governed and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.

XIV. DISPUTE RESOLUTION

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in California, United States, and you and we hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

XV. WAIVER AND SEVERABILITY

No waiver of by ASAP Visuals, Inc. of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ASAP Visuals, Inc. to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Agreement will continue in full force and effect.

XVI. TERMINATION

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of this Agreement. Upon termination, your right to use the App will immediately cease.

XVII. ENTIRE AGREEMENT

The Agreement constitutes the entire agreement between you and ASAP Visuals, Inc. regarding your use of the App and supersedes any prior and contemporaneous written or oral agreements between you and ASAP Visuals, Inc.

XVIII. PLATFORM-SPECIFIC TERMS

A. Google Play and Android

If you download the App from Google Play, you agree to comply with its Terms of Service in addition to these Terms.

B. Apple App Store and iOS

If you download the App from the Apple App Store, you agree to comply with its Terms of Service in addition to these Terms. Additionally:

  1. You acknowledge that Apple has no obligation to furnish any maintenance and support services with respect to the App.
  2. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
  3. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App.
  4. If a third party claims that the App infringes another party's intellectual property rights, Apple is not responsible for the investigation, defense, settlement, or discharge of any such claim.
  5. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  6. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
